Lapp Connecto Oy - General terms of sale
Lapp Connecto complies with the NL17 or NLM19 general sales conditions unless otherwise agreed upon by Lapp Connecto and the customer.
Payment
Unless otherwise agreed payment is to be made no later than fourteen (14) days from the invoice date. Late payments are subject to penalty interest in accordance with current Finnish legislation.
Delivery terms
Unless otherwise agreed, the delivery term is FCA Hyvinkää Finland (INCOTERMS 2010).

Lapp Automaatio Oy - General terms of sale
Lapp Automaatio Oy adheres to the Technical Traders’ General Conditions of Sale TK Yleiset 2024 with the following modifications and/or additions.
Prices
Prices given in Lapp Automaatio’s price list are gross prices (with certain exceptions) and exclude VAT.
Pricing of cables and single cores, containing copper is based on the following definition:
On the 15th day of the month or the following working day, if this day falls on a weekend or midweek holiday, the average of the of the previous 30 days’ WM higher copper price (*WM CU HIGH EUR/100 kg) is calculated and added with a 1,7% handling fee.
The price of copper, which is calculated above, becomes valid on the 1st day of the month after next (i.e. approximately 1,5 month after the day of the calculation). The prices are adjusted monthly, in cases where the average copper price changes more than 3 % in comparison to the previous price adjustment.
Lapp Automation reserves the right to adjust prices due to exchange rate fluctuations, raw material market prices or other changes beyond Lapp Automaatio’s control.
Unless otherwise agreed, the entire shipping costs of express deliveries will be charged to the consignee.
Non-stock items are sold in whole packs only.
A surcharge of EUR 30,00 will be added to all orders which total tax-free amount is less than EUR 100,00 (excluding service fees).
A service fee is charged for handling, measuring, cutting, and rewinding or bundling cables and wires when the product is ordered and delivered in a specified length that differs from the supplier's standard length (e.g. a full standard length reel or bundle). Service fee will not be charged if the default factory length(s) is ordered.

If external customer portals are used for order confirmation purposes, only the prices and delivery times are confirmed to such portals, and the Terms and Conditions of Lapp Automaatio Oy are followed unless otherwise has been agreed in writing.
Lapp Automaatio’s offers and quotations are valid if they are attached to the respective purchase order or if the number of the quotation has been referred to, from which the basis of the price on the purchase order is derived from.
Special conditions
Lapp Automaatio is not obliged to compensate the damage incurred to the BUYER or third parties, if the goods were used in direct air and space travel applications and the damage resulted from or in connection with the use of the goods pursuant to this Article, unless such damage would be caused intentionally or in gross negligence by the seller.
Lapp Automaatio reserves the right to deliver cables and single cores measured and cut in its warehouse +/- 10 % of the ordered length or +/- 10 % of non-stock items or the manufacturer’s original packed items. Please contact Lapp Automaatio if other tolerances are required.
In cases of transport damages, at the reception of goods, the recipient is obligated to ensure that the driver records the found damages on the consignment note as a reservation entry. The recipient should not sign the consignment note until a reservation entry has been made. Only findings recorded in writing on the consignment note will be considered.
Transport damages must be reported immediately, no later than within seven (7) days of receipt of the goods.
A vessel fee of €180.00 is charged per such delivery.
Deliveries to non-EU countries incur an export fee of €150.00 per delivery.
Payment

Returns
The following applies in the event of refunds:
- Only refunds where Lapp Automaatio is at fault, such as incorrect delivery or manufacturing fault, can be approved without an additional charge to the BUYER.
- All other refunds must be approved by Lapp Automaatio. In order to cover the costs of unpacking, inspection and other measures, as well as repacking, the BUYER will be refunded a maximum of 70% of the sales price of the returned products.
- Items manufactured or adjusted according to customer’s specifications cannot be refunded. The same applies for goods with an invoice value of less than EUR 300 net. Also, cables cut to less than 20 m in length cannot be refunded. However, Lapp Automaatio may still request the goods to be returned for further investigation.
- In the event of a refund, Lapp Automaatio’s refund number must be quoted. Without it, the goods will not be processed by Lapp Automaatio. For more information on refunds, please contact Lapp Automaatio.

Export control and compliance with sanctions
Both Lapp Automaatio and Lapp Connecto (later LAPP Finland) are obliged to comply with all applicable sanctions and export control laws. For the purposes of these Terms, “Sanctions” means any financial, economic, trade or other restrictive measures, embargoes, import or export bans, prohibitions on the transfer of funds, assets, goods or services, or comparable restrictions, imposed from time to time by the European Union* (including measures adopted at national level within EU Member States), the United Nations, and by other potentially applicable third countries. “Export Control Laws” refers to all applicable laws and regulations governing the export, re-export, transfer, disclosure or use of goods, software, technology or related technical assistance, including without limitation the EU Dual-Use Regulation and relevant national implementing legislation. These measures may include restrictions on specific goods and technologies that may also apply to Lapp in Finland’s products.
For the purposes of these Terms, “Sanctioned Person” means (i) any person or entity designated under Sanctions; (ii) any person or entity deemed sanctioned by virtue of ownership or control (for example, entities directly or indirectly owned 50% or more, or otherwise controlled, by designated parties); or (iii) any person or entity acting for, or on behalf of, a person described in (i) or (ii).
The Buyer represents and warrants:
(i) that it is not a Sanctioned Person and that it will immediately notify the Seller in writing if relevant facts or regulations change in a way that this would be inaccurate;
(ii) that it shall not sell, export or re-export, directly or indirectly, to Russia or to Belarus, or for use in either country, any products supplied by the Seller that fall within the scope of Article 12g of Council Regulation (EU) No 833/2014** or Article 8g of Council Regulation (EU) No 765/2006***, as amended; and that it shall use its best efforts to ensure that the purpose of this clause is not frustrated by any third parties further down the commercial chain, including possible resellers, by setting up and maintaining an adequate monitoring mechanism. The Buyer shall immediately inform the Seller about any issues in applying this clause and shall make available to the Seller, within two weeks of a simple request, information concerning compliance with these obligations;
(iii) that it shall not export, re-export, sell, supply, transfer or otherwise make available any products supplied by the Seller to, or for the benefit of, any Sanctioned Person unless expressly authorised under the relevant Sanctions or Export Control Laws;
(iv) that it shall not otherwise export, re-export, sell, supply, transfer, make available or use any products supplied by the Seller in a manner that is not permissible under applicable Sanctions or Export Control Laws, or that would expose either Party to the risk of becoming a Sanctioned Person.
The Buyer must ensure that its entire supply chain, including end users, complies with these obligations. The use of intermediaries to circumvent sanctions is strictly prohibited. Any breach of these obligations constitutes a material breach of an essential element of the contract. LAPP Finland is entitled to terminate the contract with immediate effect and to seek appropriate remedies, including suspension of deliveries, contractual penalties or damages, and, where permitted by law, liquidated damages up to 100 percent of the net value of the affected order. LAPP Finland may also notify competent authorities where required by law.
If applicable Sanctions or Export Control Laws prevent or delay performance, the Seller may suspend or withhold performance without liability to the extent impacted by such regulations. Any warranties and after-sales obligations do not apply to the extent their performance is prohibited or restricted by applicable law.
For sales to jurisdictions outside the European Union, Norway, the United Kingdom and Switzerland, the Seller may require the Buyer to provide a separate written confirmation of compliance with Sanctions and Export Control Laws.
